1.Data Ownership & Privacy

• All business data (sales, inventory, staff activity, etc.) entered into the system belongs to you.
• Blackpaw Innovations Company does not sell or share your data with third parties.
• We may analyze usage patterns and performance metrics to improve services, flag issues, or assist with customer support.
• By nature of the partnership, Blackpaw Innovations automatically assumes the role and function of administrator to your system and will have access to log in information.
• All data is stored on secure cloud infrastructure with daily backups.

• The system does not entail data validation, cleaning, or restoration services unless explicitly agreed to on a case-by-case basis.

2. Account Security

• You are responsible for the management and security of your account credentials.
• You must ensure only authorized personnel access your system.
• We are not responsible for losses caused by password sharing or internal misuse.

• The business owner accepting the system confirms they act on behalf of the registered business.

3. Subscription & Payment

• Subscription is offered on a monthly or annual basis. You will receive invoices via WhatsApp or email.
• A 15-day grace period is granted after payment is due. Failure to pay will result in system deactivation.
• Your system will be restored immediately after payment is received and confirmed.
• Pricing of the system may be reviewed in response to inflation or other relevant economic factors.
• Blackpaw reserves the right to decline service, suspend, or cancel accounts in cases of repeated non-payment or violation of terms.

• Qualification to use this package is at the sole discretion of Blackpaw, which reserves the right to determine who it works with.

4. System Monitoring

• Blackpaw may track general system usage (e.g., logins, unusual behavior, usage frequency) to:
• • Deliver proactive support
  • Detect abuse or fraud
  • Improve service offerings

• We do not access the contents of your business data (e.g., sales specifics) without your permission or support request.

5. Business Independence

• Blackpaw Innovations Company is a locally registered platform provider.
• We are not legally associated with your business activities, staff, suppliers, or customers.
• Use of the system for illegal or unethical purposes may result in the immediate suspension of your account.
• An agreement to set up the system does not imply a business partnership, nor does it make Blackpaw responsible for any actions conducted by your business using our platform.

• Blackpaw does not guarantee financial or business performance improvements as a result of using this system

6. Limitations of Liability

• We are not responsible for:
• • Errors or losses due to incorrect data entry performed by your team
  • Internet, device, or power issues affecting system use
  • Business decisions based on reports generated by the platform

• • Acts of God or unforeseen catastrophic events, including natural disasters, server failures, or data centre destruction.

7. Account Cancellation & Data Retention

• You may cancel your subscription at any time.
• Your business data will be stored securely for 60 days after cancellation or non-payment.

• If no payment or contact is received during this period, your account and data may be permanently deleted.

8. Changes to Terms

• These terms may be updated as the platform evolves or to meet legal obligations.

• You will be notified in advance in case of major changes.

9. Governing Law

• These terms are governed by the laws of the Republic of Kenya.

• Any disputes will be handled under the jurisdiction of Kenyan courts.

10. Package Scope, Eligibility & Communication Rights

10.1 Scope of Packages

Each Blackpaw package — Boresha Biashara, Safisha Biashara, and Hakikisha Biashara — is designed with specific business sizes and needs in mind.

• The Boresha Biashara package is intended for smaller businesses, typically with 1 to 2 system users and up to 1 shop/branch.
• The Safisha Biashara and Hakikisha Biashara packages support multi-branch, multi-user businesses, with access to broader features and priority support.
• All packages include predefined access to apps and modules based on your plan tier.
  Custom application development, third-party website creation, or mobile apps outside of approved Blackpaw platforms are not included.

10.2 Package Qualification & Misrepresentation

10.2.1 Qualification Criteria

Blackpaw reserves the sole right to assess and determine whether a business qualifies for any specific package based on, but not limited to, its operational scale, structural complexity, number of users, or system demands. We may decline onboarding or reassign a client to a more appropriate package where the requested tier does not align with actual usage requirements.

10.2.2 Misrepresentation & Reclassification

If a client is found to have knowingly submitted inaccurate or incomplete information during onboarding—whether to gain access to a lower-priced package or to bypass tier restrictions—Blackpaw reserves the right to reclassify the client to the correct package retroactively, or to suspend service pending resolution. This includes failure to disclose staff numbers, business locations, or actual system usage.

10.2.3 Abuse of Platform Features

Blackpaw may, at its discretion, suspend or reassign any client account where a single-user or single-branch license is being used to simulate multi-user or multi-branch operations through unauthorized technical overrides, application misuse, or feature manipulation. Such action may be treated as a breach of terms.

10.3 Use of Data in Marketing (Ethical Disclosures)

By signing up for any Blackpaw package, you acknowledge and consent that:

• Blackpaw may, with discretion and respect, mention your business in public-facing material (such as case studies, feature showcases, or testimonials).
• This includes referencing:
  • Your business name
  • Industry type
  • Blackpaw modules implemented
  • High-level outcomes (e.g., stock tracking improved, branches unified)
• We do not publish or share any private information such as passwords, internal records, financial figures, or any customer data without your separate, written approval.
• Any marketing, referencing, or showcasing of your business does not imply endorsement of your products, services, values, or leadership.
• Blackpaw is not legally affiliated with your business and is not liable for any actions taken by you, your staff, or your clients through the use of our system or through the quality, style, and offering of your products or services.

Blackpaw operates independently of your business and assumes no legal affiliation, partnership, or agency. We are not liable for any actions, decisions, outcomes, or conduct by you, your staff, or your clients resulting from the use of our system. This includes, but is not limited to, the nature, quality, legality, or delivery of your products, services, or business practices.
